1. Acceptance of Terms
By accessing and using Techsphere's website and services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. We reserve the right to modify these terms at any time, and continued use constitutes acceptance of updated terms.
2. Services Description
Techsphere provides technology solutions including, but not limited to:
- • Artificial Intelligence and Machine Learning solutions
- • Software and web application development
- • Infrastructure and data center design and implementation
- • Hardware deployment and IoT solutions
- • Consulting and technical advisory services
Specific service terms, deliverables, timelines, and pricing will be detailed in individual project agreements or contracts.
3. Client Responsibilities
Clients agree to:
- • Provide accurate and complete information necessary for project execution
- • Respond to requests for information in a timely manner
- • Grant necessary access to systems, platforms, or facilities as required
- • Comply with all applicable laws and regulations
- • Make timely payments according to agreed terms
- • Not use our services for illegal or unauthorized purposes
4. Payment Terms
Unless otherwise specified in a project agreement:
- • Payment terms and schedules will be outlined in project contracts
- • Late payments may incur additional fees or interest
- • Services may be suspended for non-payment
- • All fees are non-refundable unless otherwise stated
- • Clients are responsible for all applicable taxes
5. Intellectual Property
Our Property: Techsphere retains all rights to its proprietary methodologies, tools, frameworks, templates, and general knowledge. Website content, branding, and marketing materials remain our property.
Client Property: Upon full payment, clients receive ownership of custom work products specifically created for their project, as outlined in the project agreement.
Third-Party Property: Any third-party software, tools, or licenses used in projects remain the property of their respective owners and are subject to their terms.
6. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of the engagement. This includes:
- • Business strategies and plans
- • Technical specifications and designs
- • Financial information
- • Customer and user data
Confidential information may be disclosed if required by law or with written consent. This obligation survives termination of the agreement.
7. Warranties and Disclaimers
Our Commitment: We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.
Disclaimer: Services are provided "as is" without warranties of any kind beyond those expressly stated in project agreements. We do not warrant that services will be uninterrupted, error-free, or meet all client expectations beyond stated deliverables.
Third-Party Components: We are not responsible for the performance, reliability, or security of third-party software, services, or infrastructure beyond our control.
8. Limitation of Liability
To the maximum extent permitted by law:
- • Our total liability shall not exceed the fees paid for the specific service giving rise to the claim
- • We are not liable for indirect, incidental, consequential, or punitive damages
- • We are not liable for data loss, business interruption, or lost profits
- • Claims must be brought within one year of the event giving rise to the claim
9. Indemnification
Clients agree to indemnify and hold Techsphere harmless from claims, damages, or expenses arising from: (a) client's use of delivered services or products, (b) client's violation of these terms, (c) client's violation of applicable laws, or (d) client-provided content or data.
10. Project Changes and Cancellation
Change Requests: Changes to project scope, timeline, or deliverables must be requested in writing. Such changes may result in adjusted fees and timelines.
Cancellation: Either party may terminate a project with written notice. Client remains responsible for payment of completed work and non-refundable expenses incurred.
Suspension: We reserve the right to suspend services for non-payment, breach of terms, or circumstances that prevent safe or legal execution of work.
11. Data Protection and Privacy
We handle personal data in accordance with our Privacy Policy and applicable data protection laws. Clients are responsible for obtaining necessary consents and permissions for any data they provide to us.
12. Force Majeure
Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, government actions, or infrastructure failures.
13. Dispute Resolution
In the event of a dispute:
- • Parties agree to first attempt good-faith negotiations
- • If unresolved, disputes will be subject to mediation
- • Unresolved disputes will be governed by the laws of Nigeria
- • Jurisdiction for legal proceedings shall be the courts of Nigeria
14. General Provisions
Entire Agreement: These terms, together with any project agreements, constitute the entire agreement between parties.
Severability: If any provision is found unenforceable, the remainder of these terms remains in effect.
No Waiver: Failure to enforce any right does not constitute a waiver of that right.
Assignment: Clients may not assign rights or obligations without our written consent.
